Did you make sure the motherboard, processor and BIOS version are all compatible between them? Please check compatibility at the following site: http://processormatch.intel.com/CompDB/
If they are compatible, confirm the memory is fully compliant with the memory controller specifications. Processor specifications can be found by searching the processor model at the following site: http://ark.intel.com/ Please bear in mind that all processors with a memory controller only support 1.5V memory.
If the memory controller is located on the motherboard, then this information can be accessed through the Main Product Support Page of the board.
Furthermore, since you get a warning stating your processor is overheating, you can:
- Perform a BIOS Recovery in order to discard a BIOS corruption and assure the correct processor recognition by loading the latest microcode available for it. BIOS Recovery instructions can be found here: http://www.intel.com/support/motherboards/desktop/sb/CS-023360.htm
- Run the Intel® Processor Identification Utility and make sure the processor is being properly recognized by the system. You can find the Intel® Processor Identification Utility download at: http://downloadcenter.intel.com/Detail_Desc.aspx?DwnldID=7838
- Run the Intel® Processor Diagnostic Tool which verifies your processor’s functionality. This download can be located at: http://www.intel.com/support/processors/sb/CS-031726.htm
