I purchased i3-540, 3.06ghz 4MB cache processor togather with S3420gpv motherboard.

Hi Alexlow,
Check the memory that you are using.
Only DDR3 UDIMMs are supported on Intel® Server Board S3420GP when using Intel® Duo Core® i3 series or Intel® Pentium® processors.

Xeon 3400 series and Core i3-540 series have different memory requirements. I'd highly recommand you choose the memory from the list Subhajit provided above.
Also check the following:
http://www.intel.com/support/motherboards/server/sb/CS-031225.htm TA-943: Board may not boot with certain processors
http://www.intel.com/support/motherboards/server/sb/CS-031713.htm BIOS 42 or later required to boot certain processors

Hi
Yes, i did try with other types of ram loan by my suppliers, still the same.
Kingston ram listed in the above list as well. doesn't boot up.
Any of those ram, plug with xeon 3440 will boot.
This doesn't make sense.
Thanks
Regards
