They also had their system saying that Sonic Focus Drivers were needed, etc. Best of luck and I will try and see if someone else can address what's going on with the exclamation mark in Device Manager.
The exclamation mark (we call a Bang) (!) indicates the driver has failed to load properly – If you right mouse click on the device (in device Manager) the device properties box appears, there is a dialogue box on the front tab that indicates weather the driver is running properly or has an error message. If you're still stuck after seeing that, please send a screen capture of the dialogue box and someone can better assist you! Thanks!

This device cannot start. (Code 10)
Click Troubleshoot to start the troubleshooter for this device.
Try and look at this post, they seem to have a solution for this Code 10 error you're seeing...
It says, "Do this: Go to C:\Program Files\SigmaTel\C-Major Audio\WDM
and double click on suhlp.exe (32 bit systems). This will install the Sigmatel High Definition Audio BUS. From that point on, you will not have any more problems with Sigmatel's famous Code 10 problem."
