No, you will not be ok. The maximum memory supported by the 945G chipset is 4GB.

I just wanted to let you know that the answers provided by Al Hill and N. Scott Pearson are correct; the maximum size of memory for the Intel® D945GCNL is 2GB.
And in regard to the Intel® 945G Express Chipset, that maximum size of memory that it supports will be 4GB.
